These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and System R AI LLC ("System R AI," "we," "us," or "our"), a Florida limited liability company. These Terms govern your access to and use of the System R platform, including all associated web applications, desktop applications, command-line tools, APIs, and related services (collectively, the "Service").

1. Acceptance of Terms

By creating an account, accessing the Service, or using any part of the System R platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement in your jurisdiction. If you are using the Service on behalf of a business, organization, or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service before the changes take effect.

These Terms incorporate by reference our Privacy Policy and Risk Disclosure, both of which are available on our website. You agree to review those documents and accept them as part of your use of the Service. In the event of a conflict between these Terms and any supplemental terms or policies, these Terms will control unless the supplemental terms explicitly state otherwise.

2. Description of Service

System R is a trading intelligence platform developed by System R AI LLC. The Service provides AI-powered analysis, automation tools, and multi-broker connectivity for financial markets. System R is available through multiple interfaces: a web application accessible via browser, a desktop application for macOS, Windows, and Linux, a command-line interface (CLI), and a programmatic API for developers and automated agents.

The Service supports trading and analysis across multiple asset classes, including but not limited to: equities (stocks and ETFs), options, futures, foreign exchange (forex), cryptocurrency, and prediction markets. Coverage of specific asset classes, instruments, and markets may vary based on your subscription plan, connected brokers, and regulatory availability in your jurisdiction.

Core capabilities of the platform include AI-powered market analysis using multiple large language models, risk assessment through our proprietary G-Score methodology, automated trade execution through connected broker accounts, portfolio monitoring and alerts, workspace-based organization for multiple strategies and portfolios, and a natural language chat interface for interacting with markets and managing positions.

The Service is a software tool. It connects to third-party brokers and exchanges to facilitate your trading activities. System R AI does not execute trades directly, does not hold your funds, and does not custody any assets on your behalf. All trade execution occurs through the third-party broker or exchange you have connected to the platform. The availability, accuracy, and reliability of the Service depend on numerous factors outside our control, including but not limited to internet connectivity, third-party API availability, market data providers, and the operational status of your connected brokers.

We may add, modify, or discontinue features of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the platform.

3. Not Financial Advice

System R AI LLC is NOT a registered broker-dealer, NOT a registered investment adviser, and NOT a licensed financial professional under any federal, state, or international regulatory framework. Nothing in the Service constitutes a recommendation, solicitation, or offer to buy or sell any security, commodity, cryptocurrency, or other financial instrument.

All information provided through the Service, including AI-generated analysis, G-Score ratings, risk assessments, trade suggestions, market commentary, and any other output, is for informational and educational purposes only. You must not treat any output from the Service as personalized investment advice, a guarantee of future performance, or a substitute for your own independent research and judgment.

You may lose money trading. The financial markets involve substantial risk, and past performance of any strategy, tool, or analysis does not guarantee future results. No AI model, algorithm, or analysis tool can predict market movements with certainty. The Service does not and cannot account for your complete financial situation, risk tolerance, investment objectives, tax circumstances, or personal needs.

You acknowledge that you are solely responsible for all trading decisions you make, whether those decisions are informed by the Service or not. You should consult with a qualified financial adviser, broker, tax professional, or attorney before making any investment decisions. System R AI does not provide tax advice, legal advice, or estate planning services.

If you do not understand the risks involved in trading financial instruments, you should not use this Service. By using System R, you confirm that you understand the risks of trading, that you are prepared to bear financial losses, and that your use of the Service does not create a fiduciary, advisory, or broker-dealer relationship between you and System R AI LLC.

4. Account and Security

To use the Service, you must create an account by providing accurate, current, and complete registration information. You agree to update your information promptly if it changes. Providing false, misleading, or outdated information is grounds for immediate account suspension or termination.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any API keys associated with your account. You must not share your credentials with any third party. You agree to notify us immediately at ashim@systemr.ai if you suspect any unauthorized access to or use of your account.

When you connect a broker or exchange account to the Service, you provide API keys or credentials for that third-party service. Your broker API keys are encrypted using AES-128-CBC (Fernet) encryption and are stored in encrypted form. We never store your broker credentials in plaintext. However, you acknowledge that connecting a broker account grants the Service the ability to read account data, submit orders, and perform other actions through your broker's API, subject to the permissions you configure on your broker's platform. You are responsible for setting appropriate API key permissions and restrictions on your broker's platform.

You are responsible for all activity that occurs under your account, whether authorized by you or not. System R AI is not liable for any loss or damage arising from unauthorized use of your account if you have failed to maintain the security of your credentials. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or poses a security risk to the Service or other users.

Multi-factor authentication, session management, and other security features are available and recommended. You are encouraged to use all available security measures to protect your account.

5. Usage-Based Billing

The Service operates on a usage-based billing model. New accounts receive a $5.00 free credit to evaluate the platform. Once the free credit is exhausted, you must add funds to continue using paid features of the Service.

Billing is measured per API call, AI model invocation, and tool execution. The specific rates for each operation are published on our pricing page and may vary by AI model, feature, and complexity. We reserve the right to change pricing with at least 30 days' written notice to you via email or through the Service. Continued use of the Service after a pricing change takes effect constitutes your acceptance of the new pricing.

You may fund your account using the following payment methods: credit or debit card via Stripe, or cryptocurrency payments in USDC, SOL, USDT, PYUSD, or OSR tokens. Cryptocurrency payments are verified on-chain. OSR token payments include a 50% bonus credit applied automatically upon verification.

Bring Your Own Key (BYOK): You may optionally provide your own API keys for supported AI providers (such as Anthropic or OpenAI). When using your own keys, AI model costs are billed directly by the provider to your account, and System R AI does not charge separately for those model invocations. Platform fees for tool execution and other non-model features still apply.

All payments are non-refundable. Credits added to your account cannot be withdrawn, transferred, or converted back to cash or cryptocurrency. In the event of a billing dispute, you may contact us at ashim@systemr.ai, and we will review the dispute in good faith. Chargebacks or payment disputes filed through your payment provider without first contacting us may result in immediate account suspension.

Your account balance will never go below zero. If your balance reaches zero, paid features will be disabled until you add funds. Low balance warnings are provided at $1.00 and $0.10 thresholds to help you avoid service interruption.

6. Broker Connections

The Service allows you to connect third-party brokerage and exchange accounts for the purpose of trading, portfolio monitoring, and account management. System R AI is not a broker, exchange, or custodian. We do not hold, custody, or control your funds or assets at any time. All assets remain in your accounts at your chosen broker or exchange.

Broker connections are established through third-party APIs provided by each broker or exchange. The availability, reliability, performance, and accuracy of these APIs are controlled entirely by the respective third-party provider. System R AI is not responsible for broker API outages, data inaccuracies, delayed executions, rejected orders, partial fills, or any other failure or error originating from a third-party broker or exchange.

You acknowledge that broker APIs may experience downtime, rate limiting, data delays, or errors that can directly affect your trading activity. Orders submitted through the Service are transmitted to your broker's API, but we do not guarantee that any order will be received, accepted, or executed by your broker. Execution quality, fill prices, and order routing are determined entirely by your broker.

You are solely responsible for understanding and complying with the terms of service, margin requirements, trading rules, and regulatory obligations imposed by your broker or exchange. System R AI does not monitor or enforce your broker's rules on your behalf.

We currently support connections to multiple brokers and exchanges across equities, options, futures, cryptocurrency, and other asset classes. The list of supported brokers may change at any time. We may add or remove broker integrations based on API availability, reliability, and regulatory considerations. If a broker integration is removed, you will be notified and given a reasonable period to adjust your configuration.

7. AI and Automation

The Service uses artificial intelligence models, including Claude (via AWS Bedrock) and GPT (via Azure OpenAI), to provide market analysis, natural language interaction, trade suggestions, risk assessments, and automated execution capabilities. You acknowledge the following about the AI capabilities of the Service:

AI models can and do make errors. Large language models may produce outputs that are inaccurate, incomplete, misleading, or entirely fabricated (commonly known as "hallucination"). AI-generated analysis should never be treated as fact without independent verification. The AI does not have access to real-time market data unless explicitly connected through the platform's data feeds, and even then, data may be delayed or incomplete.

Automated trade execution is available but requires explicit configuration and user consent. The Service includes a kill switch that allows you to immediately halt all automated trading activity. You are responsible for configuring automation settings carefully, reviewing all pending actions before confirmation, and monitoring automated activity regularly. You are solely responsible for all trades executed through your account, whether initiated manually or through automation.

AI model outputs may vary between sessions, between models, and over time. The same question asked twice may produce different answers. Model behavior is influenced by context, available data, and the specific model version in use. System R AI does not guarantee consistency, accuracy, or completeness of any AI-generated output.

You agree not to use the Service to manipulate markets, engage in wash trading, spoof orders, front-run other traders, or engage in any other activity that violates applicable securities laws, commodities laws, or exchange rules. You are solely responsible for ensuring that your use of automated trading features complies with all applicable laws and regulations in your jurisdiction.

System R AI reserves the right to modify, update, or replace the AI models used by the Service at any time without prior notice, provided that we will make reasonable efforts to maintain or improve the quality of the Service.

8. Data and Privacy

Your data privacy is important to us. Our full Privacy Policy is available on our website and is incorporated by reference into these Terms. This section summarizes key data practices relevant to your use of the Service.

The Service uses a per-workspace isolation model. Each workspace you create maintains its own separate data context, including connected brokers, strategies, chat history, and configuration. Data from one workspace is not accessible from another workspace, providing logical separation of your trading contexts.

Your data is NOT used to train AI models. When the Service sends your data to AI providers (Anthropic via AWS Bedrock or OpenAI via Azure), those transmissions are governed by enterprise agreements that prohibit the use of customer data for model training. Your prompts, portfolio data, trading history, and workspace contents are not incorporated into the training data of any AI model.

We collect and process data necessary to operate the Service, including account information, workspace data, usage metrics, billing records, and technical data such as IP addresses and device information. We use this data to provide, maintain, and improve the Service, process billing, send essential notifications, and generate anonymized analytics.

We do not sell your personal data. We do not share your data with third parties for marketing or advertising purposes. Data is shared only with the third-party service providers necessary to operate the Service (such as AWS, Stripe, and AI model providers), and only to the extent necessary for those services to function.

You retain full ownership of all data you input into the Service, including your trading data, strategies, configurations, and chat history. For complete details on data collection, use, retention, and your rights, please refer to our Privacy Policy.

9. Intellectual Property

The Service, including the System R platform, System R AI brand, G-Score methodology, proprietary algorithms, software code, documentation, user interfaces, and all associated trademarks, service marks, logos, and trade dress, are the exclusive property of System R AI LLC or its licensors. All rights not expressly granted to you in these Terms are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal or internal business use, in accordance with these Terms and any applicable subscription or usage plan. This license does not include the right to sublicense, resell, redistribute, or make the Service available to third parties, except as expressly permitted through our API and agent platform under separate terms.

You must not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service. You must not copy, modify, create derivative works from, or distribute any part of the Service without our prior written consent. You must not remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service.

Your data is yours. You retain all ownership rights to the data you input into the Service, including but not limited to your trading data, strategies, notes, configurations, and chat conversations. We claim no ownership over your data. We access and process your data solely to provide the Service as described in these Terms and our Privacy Policy.

Any feedback, suggestions, ideas, or improvement requests you provide to us regarding the Service may be used by us without obligation, compensation, or attribution. By submitting feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYSTEM R AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, OR FINANCIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. This includes, without limitation, losses resulting from:

  • Trades executed based on AI-generated analysis, suggestions, or automation
  • Broker API failures, outages, or data inaccuracies
  • Delayed, rejected, or incorrectly executed orders
  • Errors, omissions, or inaccuracies in AI model outputs
  • Market data that is delayed, incomplete, or incorrect
  • System outages, connectivity failures, or software bugs
  • Kill switch failures or delays in halting automated trading
  • Unauthorized access to your account due to compromised credentials

You acknowledge that trading involves substantial risk of loss and that you may lose some or all of your invested capital. System R AI provides tools and analysis, but does not guarantee any trading outcome.

IN NO EVENT SHALL SYSTEM R AI LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO SYSTEM R AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. If you have paid no fees, our maximum liability is $100.

SYSTEM R AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to damages for lost profits, lost revenue, lost data, business interruption, loss of goodwill, or cost of substitute services, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if System R AI has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, System R AI LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and title.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate, reliable, or complete
  • AI-generated analysis, scores, or suggestions will be correct or profitable
  • The Service will meet your specific requirements or expectations
  • Any errors or defects in the Service will be corrected
  • The Service will be compatible with all brokers, markets, or instruments
  • Market data provided through the Service will be real-time or accurate
  • The Service will be available in all jurisdictions or at all times

No information or advice, whether oral or written, obtained from System R AI or through the Service creates any warranty not expressly stated in these Terms. You assume full responsibility for your use of the Service and for evaluating the accuracy, completeness, and usefulness of any output, analysis, or recommendation provided by the Service.

You acknowledge that the financial markets are inherently unpredictable, that AI technology has known limitations, and that software systems are subject to bugs, outages, and failures. Your use of the Service is at your sole risk. You should always have contingency plans for managing your trading positions independent of the Service.

12. Termination

You may close your account and terminate your use of the Service at any time by contacting us at ashim@systemr.ai or through the account settings in the Service. Upon account closure, your access to the Service will be revoked, and your remaining credit balance will be forfeited (credits are non-refundable and non-transferable).

System R AI reserves the right to suspend or terminate your account, with or without notice, if we reasonably believe that:

  • You have violated these Terms or any applicable law or regulation
  • Your use of the Service poses a security risk to the platform or other users
  • You are engaging in fraudulent, abusive, or manipulative activity
  • You have provided false or misleading account information
  • Your account has been inactive for an extended period (12 months or more)
  • Continued provision of the Service to you is no longer commercially viable

Upon termination, whether initiated by you or by us, your right to access and use the Service ceases immediately. We will retain your account data for 30 days following termination, during which time you may request a copy of your data by contacting us at ashim@systemr.ai. After the 30-day retention period, your data will be permanently deleted from our systems, except for billing records and other data we are required to retain by law.

Termination of your account does not affect any obligations or liabilities that accrued prior to termination. The following sections of these Terms survive termination: Not Financial Advice, Limitation of Liability, Disclaimer of Warranties, Governing Law, and any other provisions that by their nature should survive.

If your account is suspended, you may contact us at ashim@systemr.ai to request a review. We will respond within a reasonable time and provide an explanation for the suspension, subject to legal and security constraints.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be subject to the jurisdiction described below.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Pinellas County, Florida. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: YOU AND SYSTEM R AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in court.

Exceptions to Arbitration: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights. Additionally, claims that qualify for small claims court may be brought in small claims court in Pinellas County, Florida.

Statute of Limitations: Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.
